1. Commercial Definitions & Parties to Agreement
In this contract, "Alpha Enterprises" refers to the legitimate B2B corporate entity headquartered at Office No. 101, Tech Park One, Yerawada, Pune, Maharashtra 411006, India. "Buyer" or "Client" refers to any accredited enterprise, manufacturing facility, or infrastructure consortium engaging Alpha Enterprises for procurement, trading, or supply coordination.
All transactions executed by Alpha Enterprises represent business-to-business (B2B) commercial arrangements. Nothing in our web ecosystem or sales correspondence constitutes a retail consumer sale or consumer-facing contract under the Consumer Protection Act.
2. Quotations, Pricing & GST Invoicing Framework
All written quotations issued by our Pune advisory desk remain valid for exactly fourteen (14) calendar days from the date of issuance unless explicitly stated otherwise due to underlying commodity metal market fluctuations.
- GST Compliance: All billing is executed with 100% adherence to the Indian Goods and Services Tax (GST) framework. Invoices will explicitly itemize CGST, SGST, or IGST rates alongside verified HSN/SAC classification codes.
- Price Adjustments: For long-term rate contracts extending beyond 90 days, Alpha Enterprises reserves the right to apply mutually agreed pricing escalator clauses if raw commodity indices (London Metal Exchange or domestic steel benchmarks) shift by more than 7.5%.
3. Payment Terms & Credit Allocations
Payment terms are established post-financial audit during client onboarding. Standard corporate payment execution protocols stipulate:
- Advance payment or Letter of Credit (LC at Sight) for custom-engineered or bespoke fabricated industrial spares.
- Net 30 to Net 45-day commercial credit terms for pre-qualified tier-one enterprise partners with established payment histories.
- Overdue accounts shall accrue commercial interest at the rate of 1.5% per month (18% per annum) calculated from the date of invoice maturity.
4. Quality Assurance & Material Inspection Protocols
Alpha Enterprises guarantees that all delivered industrial goods strictly correspond to the engineering drawings, CAD specifications, and bill of materials (BOM) mutually signed in the formal Purchase Order.
Mandatory Material Test Certificates (MTC Grade 3.1 or 3.2 as specified) will accompany every physical dispatch. The Buyer is entitled to conduct joint witness inspections at our Pune verification center prior to final packaging. Any dimensional or chemical variance claims must be formally lodged in writing within ten (10) business days of physical receipt at the destination plant.
5. Delivery Schedules, Freight & Risk of Loss
Alpha Enterprises coordinates multi-modal container and express logistics along designated Indian transit expressways. Risk of loss or damage to goods transfers to the Buyer upon physical handover at the agreed Incoterms 2020 point (standard delivery is FOR Destination or Ex-Works Pune as specified in the quotation).
While Alpha Enterprises employs all commercially reasonable endeavors to maintain just-in-time (JIT) delivery schedules, transit delays arising from customs clearance audits, regional transport strikes, or highway disruptions shall not constitute a contractual default.
6. Force Majeure & Contractual Excusability
Neither Alpha Enterprises nor the Buyer shall be held liable for failure or delay in fulfilling contract obligations if such failure arises directly from acts of God, severe natural disasters, nationwide industrial strikes, government embargoes, raw material export bans, or catastrophic power grid failures beyond reasonable commercial control.
7. Limitation of Commercial Liability
Under no circumstances shall Alpha Enterprises be held liable for indirect, incidental, consequential, or punitive damages, including lost manufacturing downtime, lost production profits, or third-party penalty claims. Our maximum aggregate liability under any contract or purchase order shall never exceed the total financial value received by Alpha Enterprises for the specific non-conforming shipment line item.
8. Governing Law & Arbitration Forum
All commercial contracts and trading agreements executed with Alpha Enterprises shall be governed exclusively by the laws of India. Any irreconcilable dispute shall be referred to binding arbitration conducted by a sole arbitrator in Pune, Maharashtra, in accordance with the Arbitration and Conciliation Act, 1996.
